General terms and conditions for using the Tukaatu ecosystem.

TUKAATU TERMS OF SERVICE

§1INTRODUCTION

Welcome to Tukaatu.

These Terms of Service ("Terms") constitute a legally binding agreement between you and:

("Tukaatu", "we", "our", or "us").

These Terms govern your access to and use of:

Tukaatu Marketplace;

Merchant online stores;

Websites created using Tukaatu;

Mobile applications;

Films and Creator features;

Marketing Campaign features;

Payment facilitation services;

Communication tools;

Delivery-related services;

Artificial intelligence services;

Subscription services; and

Any products, technologies, features, applications, or services that reference these Terms (collectively, the "Services").

By accessing or using the Services, creating an account, operating a Merchant store, posting content, creating campaigns, purchasing products, or otherwise interacting with the Services, you agree to be bound by these Terms and all policies incorporated by reference.

If you do not agree to these Terms, you must not use the Services.

§2DEFINITIONS

Customer means any person purchasing or attempting to purchase products or services through the Services.

Merchant means any individual or business operating a store through the Services.

User means any individual or entity accessing or using the Services.

Marketplace means the online marketplace operated by Tukaatu.

Store means a Merchant's website, storefront, marketplace page, or online business operated through the Services.

Store Number means the permanent numerical identifier assigned to a Merchant's Store.

Films means short-form video content uploaded through the Services.

Creator means any User who uploads Films or participates in marketing campaigns.

Marketing Campaign means a Merchant-created campaign allowing Creators to promote products in exchange for commissions.

Content means all information, text, images, videos, comments, products, logos, documents, and materials uploaded or made available through the Services.

Subscription Plan means any paid service package offered by Tukaatu.

§3ELIGIBILITY

To use the Services:

you must be at least sixteen (16) years of age;

you must have legal capacity to enter into binding agreements;

you must provide accurate information;

you must not be prohibited from using the Services under applicable law.

Tukaatu may refuse access to the Services at its sole discretion.

§4ELECTRONIC AGREEMENT

By:

creating an account;

clicking "Agree" or similar buttons;

placing an order;

subscribing to a service;

uploading content;

using any part of the Services,

you electronically agree to these Terms.

Electronic acceptance shall constitute a legally binding agreement.

§5ELECTRONIC RECORDS AND COMMUNICATIONS

Users consent to receive information electronically, including:

invoices;

receipts;

notices;

agreements;

policies;

notifications;

service announcements;

legal communications.

Electronic records may be retained and used as evidence to the extent permitted by applicable law.

§6USER ACCOUNTS

Users may create accounts using phone number verification and other methods made available by Tukaatu.

Users are responsible for:

maintaining account security;

maintaining confidentiality of credentials;

activities occurring under their accounts;

ensuring information remains accurate.

One phone number may generally maintain one account unless otherwise permitted.

Accounts are generally non-transferable.

§7MERCHANT REGISTRATION AND VERIFICATION

Merchants may be required to submit:

business information;

company registration certificates;

PAN certificates;

VAT information;

citizenship or identification documents;

owner photographs;

business location information;

any additional information requested by Tukaatu.

Tukaatu may:

verify information;

request additional documents;

reject applications;

suspend applications;

reject unverifiable information.

Applications may be rejected where:

documents are incomplete;

documents are false;

information cannot be verified;

legal concerns arise;

regulatory requirements are not met.

§8STORE NUMBERS, SUBDOMAINS AND DOMAINS

Each Merchant may receive a permanent Store Number.

Store Numbers:

remain associated with the Merchant for the lifetime of the account;

are not reassigned to others;

may be changed only upon approval.

If a subscription expires:

websites may become inaccessible;

data remains preserved;

Store Numbers remain reserved;

subdomains remain reserved.

§9STORE OWNERSHIP TRANSFER

Stores are generally non-transferable.

However, ownership transfer may be permitted in cases of:

sale of business;

mergers;

acquisitions;

inheritance;

restructuring.

The new owner must provide all required legal documents.

Transfers are subject to approval by Tukaatu.

§10SUBSCRIPTION PLANS

Tukaatu currently offers:

Basic Plan;

Advanced Plan; and

Premium Plan.

Subscriptions are currently offered on a yearly basis only.

Subscriptions do not renew automatically.

Failure to renew may result in suspension of certain Services.

§11FEES AND BILLING

Subscription fees:

are payable in advance;

are non-refundable except where required by law;

may change in the future.

Price changes shall not affect subscription periods already paid.

Merchants may upgrade plans at any time.

Downgrades are not currently available.

§12MARKETPLACE ROLE

Tukaatu is solely a technology platform and marketplace facilitator.

Tukaatu:

is not the seller;

is not the merchant of record;

does not own products;

does not manufacture products;

does not take title or possession of products.

All transactions occur directly between Customers and Merchants.

§13PAYMENTS

Payments may be processed through Hamro Pay and other authorized providers.

Tukaatu generally receives only:

payment status;

transaction ID;

amount;

payment method.

Tukaatu does not hold Merchant funds.

Payment provider fees are outside Tukaatu's control.

Future wallet, credits, escrow, or stored value services may be introduced and governed by supplemental terms.

§14COMMISSIONS

Tukaatu currently charges no commission on product sales.

Revenue is primarily derived from:

subscription fees;

optional services; and

future services introduced by Tukaatu.

§15MERCHANT RESPONSIBILITIES

Merchants are solely responsible for:

product legality;

pricing;

taxes;

VAT;

licenses;

permits;

warranties;

refunds;

exchanges;

deliveries;

after-sales services;

consumer protection compliance.

§16PROHIBITED PRODUCTS

Users shall not sell or promote:

counterfeit goods;

stolen property;

illegal products;

weapons;

explosives;

ammunition;

narcotics;

controlled substances;

alcohol;

tobacco products;

gambling services;

pyramid schemes;

unlicensed medicines;

forged documents;

government documents;

dangerous chemicals;

products violating intellectual property rights;

products prohibited by Nepalese law.

§17PROHIBITED CONDUCT

Users shall not:

commit fraud;

upload false documents;

abuse the Services;

spam users;

impersonate others;

interfere with platform operations;

attempt unauthorized access;

violate intellectual property rights;

engage in unlawful activities.

§18FILMS SERVICES

Tukaatu may provide features allowing Users and Merchants to upload and publish short-form videos ("Films").

Films may include:

product promotions;

product demonstrations;

educational content;

reviews;

marketing materials.

Users remain solely responsible for content they upload.

§19CREATOR AND MARKETING CAMPAIGNS

Merchants may create marketing campaigns through which Creators may promote products.

Campaigns may permit Creators to:

bid on the number of products they expect to sell;

earn flat commissions;

earn percentage-based commissions.

When a sale is successfully completed:

the Merchant becomes responsible for payment of commissions;

settlements may be facilitated through Hamro Pay.

Tukaatu:

does not guarantee commissions;

is not a party to Creator-Merchant agreements;

is not liable for campaign disputes.

§20USER CONTENT

Users retain ownership of uploaded content.

By uploading content, Users grant Tukaatu a non-exclusive, worldwide, royalty-free license to:

host;

reproduce;

display;

transmit;

distribute;

promote such content solely for operating and marketing the Services.

Tukaatu may use:

store names;

logos;

screenshots;

publicly available Films and content

for marketing purposes.

§21INTELLECTUAL PROPERTY

Tukaatu and its licensors own all rights relating to:

software;

trademarks;

branding;

technology;

platform designs.

Users may not copy, reverse engineer, modify, or exploit Tukaatu's intellectual property without authorization.

§22PRIVACY

Use of the Services is governed by the Tukaatu Privacy Notice, which forms an integral part of these Terms.

§23AI FEATURES

Current AI features are limited to:

product recommendations;

assisting Customers in discovering products.

Current AI systems:

do not access private messages;

do not access orders;

do not make purchasing decisions.

The current AI assistant is powered by Google's Gemini technologies.

§24THIRD-PARTY SERVICES

The Services may integrate with:

Hamro Pay;

Google;

Meta;

Firebase;

cloud providers;

SMS providers;

hosting providers.

Tukaatu is not responsible for third-party services.

§25SERVICE AVAILABILITY

Tukaatu may:

modify features;

improve Services;

perform maintenance;

introduce new services;

introduce new paid features.

Tukaatu does not guarantee uninterrupted availability.

§26ACCOUNT SUSPENSION AND TERMINATION

Tukaatu may suspend or terminate accounts for:

fraud;

fake documents;

non-payment;

illegal products;

abuse;

spam;

repeated complaints;

intellectual property violations;

legal violations.

§27DISCLAIMERS

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Tukaatu disclaims all warranties to the fullest extent permitted by law.

§28LIMITATION OF LIABILITY

To the fullest extent permitted by law, Tukaatu shall not be liable for:

loss of profits;

loss of revenue;

business interruption;

data loss;

merchant misconduct;

creator misconduct;

delivery failures;

third-party failures;

payment provider failures;

cyberattacks beyond reasonable control;

force majeure events;

indirect damages;

consequential damages.

Nothing in these Terms excludes liability that cannot legally be excluded.

§29INDEMNIFICATION

Users agree to indemnify and hold harmless Tukaatu from claims arising from:

misuse of the Services;

products sold;

user-generated content;

Merchant activities;

Creator activities;

violations of law.

§30FORCE MAJEURE

Tukaatu shall not be liable for failures caused by:

natural disasters;

floods;

earthquakes;

wars;

pandemics;

governmental actions;

internet failures;

power outages;

events beyond reasonable control.

§31COMPLIANCE WITH LAW

Users shall comply with:

applicable laws;

consumer protection laws;

tax laws;

intellectual property laws;

electronic commerce laws;

regulatory requirements.

Nothing in these Terms limits any mandatory rights available under applicable law.

§32GOVERNMENT REQUESTS

Tukaatu may disclose information where required:

by law;

by court order;

by governmental request;

to investigate fraud;

to protect rights and safety.

§33FUTURE FEATURES

Tukaatu may introduce:

wallets;

credits;

escrow services;

loyalty programs;

referral programs;

international shipping;

APIs;

advertising services;

new technologies and features.

Such features may be governed by supplemental terms.

§34DISPUTE RESOLUTION

Before commencing legal proceedings, the parties shall attempt in good faith to resolve disputes through negotiation.

A written notice of dispute shall be provided.

The parties shall attempt resolution for:

Thirty (30) calendar days.

The parties may mutually agree to mediation.

§35GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of Nepal.

Subject to applicable laws, the courts located in Sunsari District, Nepal shall have exclusive jurisdiction.

§36CHANGES TO THESE TERMS

Tukaatu may amend these Terms from time to time.

Material changes may be communicated through:

website notices;

application notices;

SMS;

email; or

other communications.

Continued use of the Services constitutes acceptance of revised Terms.

§37ENTIRE AGREEMENT

These Terms, together with all incorporated policies, constitute the entire agreement between Users and Tukaatu.

§38RELATED POLICIES

These Terms should be read together with:

Privacy Notice;

Refund, Return, Exchange, Warranty and Delivery Policy;

Acceptable Use Policy;

Community Guidelines;

Merchant Terms of Service;

Films, Creator and Advertising Policy;

Tukaatu Express Terms and Conditions;

Copyright and Intellectual Property Policy; and

Any additional policies published by Tukaatu.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all related policies published by Tukaatu.
